Terms of Service

These Terms of Service govern access to vidasong.com and the purchase and use of services provided under the VidaSong name.

By submitting an order, approving a song plan, making a payment, or using a completed VidaSong product, you agree to these Terms of Service, the VidaSong Privacy Policy, and the VidaSong Revision and Refund Policy.

1. Eligibility

You must be at least 18 years old and legally capable of entering into an agreement to purchase a VidaSong service.

If you place an order on behalf of another person, family, organization, or business, you represent that you have authority to do so.

VidaSong produces personalized digital creative products, which may include:

The specific deliverables, price, included revisions, and estimated delivery date are determined by the selected package and any written order confirmation.

Unless expressly stated otherwise, VidaSong products are delivered digitally and do not include a physical product.

3. AI-Assisted Production

VidaSong uses human storytelling, lyric writing, editing, creative direction, quality control, and artificial-intelligence-assisted production tools.

4. Request and Approval Process

The normal order process is:

  1. The customer submits a song request;
  2. VidaSong reviews the request;
  3. VidaSong may request clarification;
  4. VidaSong provides or confirms a proposed song plan;
  5. The customer approves the plan;
  6. VidaSong sends payment instructions;
  7. Production begins after payment; and
  8. VidaSong delivers the purchased materials.

VidaSong may decline a request before accepting payment.

Submitting a request form does not guarantee acceptance, availability, a particular deadline, or a particular creative result.

5. Customer Responsibilities

The customer is responsible for:

VidaSong is not responsible for errors that result from inaccurate, incomplete, misleading, or improperly approved customer information.

6. Permission to Use Submitted Materials

The customer retains whatever rights the customer has in materials submitted to VidaSong.

By submitting names, stories, photographs, recordings, text, or other materials, the customer grants VidaSong a limited permission to:

This permission exists only for fulfilling the order, maintaining necessary records, resolving disputes, and performing other uses authorized by the customer.

VidaSong may reject, stop, or cancel an order involving:

If a customer concealed the true nature of a prohibited request, VidaSong may cancel the order. Refund eligibility will depend on the work already completed and applicable law.

8. Prices and Payment

Prices are those displayed in the applicable package or written quote at the time the order is confirmed.

Payment is due before customized production begins unless VidaSong agrees otherwise in writing.

Customers are responsible for applicable taxes, payment-processing issues, and charges resulting from inaccurate payment information.

VidaSong may correct an obvious pricing or description error before accepting payment.

9. Production and Delivery

Delivery dates are good-faith estimates unless VidaSong expressly guarantees a deadline in writing.

Delivery may be affected by:

VidaSong may deliver files by email, private link, cloud folder, or another reasonable digital method.

10. Revisions, Cancellations, and Refunds

All revisions, cancellations, and refunds are governed by the VidaSong Revision and Refund Policy, which is incorporated into these Terms.

The customer agrees that personalized creative work may become nonrefundable once production begins.

11. Rights in Completed Deliverables

After full payment, VidaSong grants the customer a perpetual, worldwide, royalty-free, non-exclusive license to use the final delivered materials for personal, noncommercial purposes.

Nothing in these Terms guarantees that every element of a completed project is eligible for copyright protection.

12. Customer Privacy and Portfolio Use

VidaSong treats customer projects as private by default.

VidaSong will not intentionally use a customer's name, story, photographs, completed song, reaction, review, or testimonial for advertising without separate permission.

Any promotional permission must be affirmative and is not required as a condition of purchasing the standard service.

13. Reviews and Testimonials

Customers may provide honest reviews based on their actual experience.

VidaSong will not require a customer to give a positive review as a condition of receiving a discount, refund, revision, or other benefit.

If VidaSong provides an incentive for an honest review, the existence of that incentive must be appropriately disclosed.

VidaSong may edit a testimonial for spelling, length, or formatting only when the edit does not alter the reviewer's meaning.

14. Third-Party Services

VidaSong relies on third-party services for hosting, forms, email, storage, artificial-intelligence-assisted production, payment processing, analytics, and advertising.

VidaSong is not responsible for:

Use of a completed project on another platform remains subject to that platform's rules.

15. Artistic Nature of the Service

Personalized songs are subjective creative works.

VidaSong does not guarantee:

VidaSong's obligation is to make a good-faith effort to deliver materials that substantially follow the approved song plan and purchased package.

16. Disclaimer of Warranties

To the maximum extent permitted by law, VidaSong services are provided "as is" and "as available," subject to the express commitments contained in the order confirmation and Revision and Refund Policy.

VidaSong disclaims implied warranties to the extent those warranties may legally be disclaimed.

Nothing in these Terms limits consumer rights that cannot legally be waived.

17. Limitation of Liability

To the maximum extent permitted by law, VidaSong will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages arising from the service.

VidaSong's total liability arising from a particular order will not exceed the amount the customer paid for that order.

These limitations do not apply where prohibited by law.

18. Responsibility for Third-Party Claims

The customer is responsible for claims resulting from materials the customer submitted without appropriate rights, permission, or authority.

To the extent permitted by law, the customer agrees to reimburse VidaSong for reasonable losses, expenses, or claims arising directly from the customer's violation of Section 6 or Section 7.

19. Refusal or Termination of Service

VidaSong may refuse, suspend, or terminate service when:

Any refund will be determined under the Revision and Refund Policy and applicable law.

20. Governing Law

These Terms are governed by the laws of the State of Illinois, without regard to conflict-of-law principles.

Before filing a legal claim, the customer and VidaSong agree to make a reasonable effort to resolve the dispute through direct written communication.

Subject to applicable consumer-protection law, legal proceedings concerning these Terms may be brought in an appropriate state or federal court located in Illinois.

21. Severability

If any provision of these Terms is found unenforceable, the remaining provisions will remain in effect to the extent permitted by law.

22. No Waiver

Failure by VidaSong to enforce a provision on one occasion does not waive the right to enforce it later.

23. Changes to These Terms

VidaSong may update these Terms as the service changes.

The current version will be posted with a revised "Last updated" date. Changes will apply prospectively unless applicable law requires otherwise.
